These Terms govern your access to the YBOne Strategic Solutions Private Limited Platform for fractional real estate ownership (SPV units/tokenised units) and REIT-related offerings. Through our Platform, we facilitate the buying and selling of fractional shares or interests associated with real estate assets.

Our role is strictly that of a technology intermediary enabling users to access property investment opportunities through Special Purpose Vehicles (“SPVs”), Real Estate Investment Trusts (“REITs”), or other regulated real-estate entities. We do not manage, operate, or exercise control over the underlying properties.

1. Regulatory Compliance

This Platform operates as a technology intermediary. We are not:

  • A SEBI-registered investment advisor (IA)
  • A SEBI-registered broker/dealer
  • A portfolio manager

Where we collaborate with SEBI-regulated entities, we do so in compliance with relevant regulations. All fractional ownership offerings must comply with:

  • The Companies Act
  • FEMA (for NRI investments)
  • Local stamp duty and registration laws
  • SEBI regulations (where applicable)

2. User Eligibility

Users must:

  • Be 18+ and legally competent
  • Complete full KYC as per SEBI & PMLA norms
  • Not be restricted by sanctions or legal prohibitions
  • Use the Platform for lawful investment purposes only

3. Platform Role (Disclaimer)

The Platform acts only as an intermediary and:

  • Does not guarantee returns
  • Does not independently validate property valuation or performance
  • Does not underwrite or insure investment risks
  • Is not responsible for third-party delays or defaults

4. Investment Risks (Mandatory Disclosure)

Critical Risk Acknowledgement

  • Investments may result in loss of capital.
  • Liquidity is not guaranteed.
  • SPV assets may face operational, financial, or legal risks.
  • REIT performance is market-linked and may fluctuate.
  • Fractional ownership is not equivalent to full legal ownership of property.

You must conduct independent due diligence.

5. Fees & Payments

Applicable charges may include:

  • Platform fees
  • Processing or withdrawal fees
  • GST and other applicable taxes

All payments are processed through regulated payment partners.

6. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for investment losses, property issues, inaccurate listings, or third-party failures or delays.
  • Our total liability is limited to Platform fees paid by you in the last 12 months.

7. Indemnity & Suspension

You agree to indemnify and hold the Company harmless from claims arising due to:

  • Misuse of the Platform
  • False declarations or information
  • Regulatory violations committed by you

We may suspend or terminate accounts for:

  • Regulatory non-compliance
  • Suspicious, fraudulent, or unlawful activity
  • Breach of these Terms

8. Governing Law & Jurisdiction

These Terms are governed by the laws of India.

9. Mandatory Platform Rules (Compliance-Oriented)

To comply with Indian regulatory frameworks including SEBI, PMLA, IT Act, Consumer Protection Act, and RERA (where applicable), the following rules are mandatory for all users.

9.1 Mandatory KYC/AML Compliance

  • Users must complete full KYC verification before accessing investment features.
  • PAN is mandatory for all investment-related transactions.
  • Aadhaar or other government-approved ID may be required.
  • Users must provide bank details in their own name; third-party transfers are prohibited.
  • All transactions are monitored under PMLA, 2002, and may be reported to FIU-IND.

9.2 Mandatory Source of Funds Declaration

  • Users may be required to declare the lawful source of funds.
  • High-value transactions may require enhanced due diligence (EDD).

9.3 Mandatory Compliance with SEBI Regulations

Users must adhere to:

  • SEBI (Prohibition of Fraudulent and Unfair Trade Practices) Regulations, 2003
  • SEBI KYC Registration Agency (KRA) requirements
  • SEBI REIT Regulations, where applicable
  • Restrictions relating to investment solicitation, insider information, or misleading conduct

9.4 Mandatory Tax Compliance

  • Users must comply with applicable Indian tax laws including TDS, GST, and capital gains.
  • Users are solely responsible for tax filings and payments related to their investments.

9.5 Mandatory Use of Correct Information

  • Users must provide accurate data during registration, KYC, and investment processes.
  • Incorrect, incomplete, or fraudulent information may lead to account suspension or termination.

9.6 Mandatory Prohibition of Restricted Activities

Users must not:

  • Attempt to bypass KYC/AML procedures
  • Engage in money laundering, round-tripping, or fraudulent transfers
  • Use bots, automated scripts, or unauthorized access tools
  • Share or sell platform accounts
  • Misrepresent ownership, identity, or eligibility
  • Upload false, misleading, or unverifiable documents

9.7 Mandatory Compliance With IT Act & Data Security Rules

Users must:

  • Provide clear consent for data usage where required
  • Not interfere with platform security, servers, or attempt to hack the system
  • Comply with IT Rules 2011 on handling personal and sensitive data

9.8 Mandatory Acceptance of Platform Communication

Users must accept that:

  • The Platform may send mandatory transactional alerts
  • Regulatory messages (KYC, risk warnings, disclosures) cannot be opted out of

9.9 Dispute Resolution & Jurisdiction Acceptance

By using the Platform, users accept:

  • Indian laws as the governing framework
  • The agreed jurisdiction courts or arbitration rules as applicable

By accessing or using our Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
