1. Acceptance of Terms

By accessing and using PaySquares, you agree to be bound by these Terms and Conditions, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree to abide by the above, please do not use this service.

2. Platform Nature & Status

PaySquares is a technology service provider and digital marketplace intermediary. We are:

  • NOT a registered stock exchange, broker-dealer, or investment adviser
  • NOT a Real Estate Investment Trust (REIT), Collective Investment Scheme (CIS), or Alternative Investment Fund (AIF)
  • NOT managing your funds or serving as a custodian
  • NOT providing investment advice or financial recommendations
  • NOT responsible for the performance of any SPV or real estate asset

3. Eligibility & KYC Requirements

Use of the platform is limited to users who:

  • Are at least 18 years of age
  • Are resident in India and comply with Indian law
  • Have completed mandatory KYC/AML verification
  • Provide accurate and true information during registration
  • Have the legal capacity to enter into agreements with SPVs

4. User Responsibilities

As a user, you agree to:

  • Maintain confidentiality of your login credentials
  • Review all documentation before participating in any offering
  • Consult your own legal, tax, and financial advisors
  • Not engage in any fraudulent or misleading activities
  • Comply with all applicable laws and regulations

5. SPV Offerings & Investments

When you participate in an offering:

  • Your contract is directly with the SPV, not PaySquares
  • You are purchasing securities issued by the SPV as per the Subscription Agreement
  • Your tokens represent ownership interests in the SPV
  • You must complete all required legal documentation
  • Funds are transferred directly to the SPV’s escrow account
  • PaySquares facilitates but does not hold or manage these funds

6. Limitation of Liability

To the maximum extent permitted by law, PaySquares shall not be liable for:

  • Loss of capital or depreciation in token value
  • Illiquidity or inability to exit an investment
  • Performance or failure of any SPV or real estate asset
  • Regulatory changes affecting your investments
  • Technical issues, interruptions, or data loss
  • Third-party actions or market volatility

7. Dispute Resolution

Any disputes arising from your use of the platform or investments made through the platform shall be governed by the laws of India and settled through arbitration as per the Arbitration and Conciliation Act, 1996.

8. Modifications to Terms

PaySquares reserves the right to modify these terms at any time. Continued use of the platform after modifications constitutes acceptance of the updated terms.

9. Entire Agreement

These Terms and Conditions, along with the Privacy Policy, Risk Disclosure Statement, and any Subscription Agreements with SPVs, constitute the entire agreement between you and PaySquares and supersede all prior and contemporaneous agreements.
